Terms & Conditions Of Sale

Definitions

Seller means Solid Circuit Enterprises Pty Ltd (or trading entity).

Buyer means the purchaser of goods or services.

Goods means all products, components, software, assemblies or related items supplied.

Services means design, programming, support, configuration, consultation or installation-related services.


Acceptance

Any order placed with the Seller constitutes acceptance of these Terms & Conditions unless otherwise agreed in writing.

These Terms prevail over any Buyer purchase terms unless expressly accepted by the Seller in writing.


Quotations

Quotations are valid for 30 days unless stated otherwise.

Prices may change due to supplier costs, exchange rates, freight costs or specification changes prior to order acceptance.


Payment

Unless otherwise agreed:

  • Deposit may be required before manufacture or supply.
  • Balance payable prior to dispatch.
  • Approved account customers: payment due within agreed terms.

Late payments may incur interest, recovery costs and suspension of further supply.


Title & Risk

Risk in Goods passes to Buyer upon delivery, collection or dispatch.

Ownership remains with Seller until payment in full is received.

Seller may recover unpaid Goods where lawful.


Delivery

Delivery dates are estimates only.

Seller is not liable for delay caused by freight providers, suppliers, customs, shortages, force majeure or matters outside reasonable control.


Product Suitability

Buyer is solely responsible for determining whether Goods are suitable for the intended application, vehicle, machine, system or environment.

Any advice given is general only unless expressly provided as formal engineering advice in writing.


Installation & Commissioning

Unless expressly included in writing:

  • Goods are supplied only.
  • Installation is Buyer’s responsibility.
  • Installation should be performed by a qualified technician.

Buyer must ensure correct:

  • wiring
  • mounting
  • fuse protection
  • environmental protection
  • commissioning
  • operational testing

Compliance & Regulatory Responsibility

References to ADR, Australian Standards, OEM requirements or regulations are general only.

Supply of Goods does not constitute certification of any complete vehicle, machine, installation or legal compliance outcome.

Buyer is responsible for all approvals, certifications and legal compliance.


Warranty

Seller warrants Goods against defects in materials and workmanship for 12 months from supply date unless otherwise stated.

Seller may elect to:

  • repair
  • replace
  • refund purchase price

Warranty excludes:

  • incorrect installation
  • misuse
  • abuse
  • neglect
  • poor maintenance
  • corrosion
  • water ingress
  • vibration damage
  • over-voltage / reverse polarity
  • external system faults
  • modifications
  • consumables / batteries unless specified

Returns

Returns require prior written approval.

Custom-made, programmed, modified or special-order items are non-returnable unless defective.

Returned Goods must be unused and in saleable condition unless warranty claim approved.

Restocking fees may apply.


Limitation of Liability

To the maximum extent permitted by law, Seller’s total liability arising from supply of Goods or Services is limited to the amount paid.

Seller is not liable for:

  • consequential loss
  • loss of profit
  • downtime
  • loss of contracts
  • penalties
  • business interruption
  • reputational damage
  • third-party claims

Safety-Critical Use

Unless expressly agreed in writing, Goods are not represented as fail-safe primary life-protection devices.

Buyer must implement independent operational procedures, inspections and risk controls.


Intellectual Property

All drawings, firmware, designs, code, concepts and documentation remain Seller property unless otherwise agreed in writing.


Custom Development

  • scope must be agreed in writing
  • changes may alter price and timing
  • prototypes may differ from final production units
  • Buyer responsible for final application validation

Privacy

Buyer information may be used for administration, warranty and support purposes in accordance with applicable privacy law.


Force Majeure

Seller is not liable for delay or non-performance caused by events beyond reasonable control.


Governing Law

These Terms are governed by the laws of New South Wales, Australia.


Severability

If any clause is invalid, remaining clauses continue in effect.
